NTA Board of Directors Code of Conduct
Board Member Code of Conduct As a member of the Board team, I will: 1. Listen carefully to my board colleagues and the executive (if any) 2. Respect the opinion of others. 3. Respect and support the majority decisions of this board. 4. Recognize that all authority is vested in the full board only when it meets in legal session. 5. Be well informed of developments relevant to the issues that come before the board. 6. Prepare and actively participate in board and committee meetings. 7. Attempt to interpret the needs of those we serve at this organization, and interpret the actions of the nonprofit to those we serve. 8. Refer complaints to the proper chain of command. 9. Recognize that my job is to ensure that the NTA is well managed, not to manage the organization. 10. Represent everyone the NTA serves, and not a particular interest group. 11. Understand that I am a trustee of this organization and do my best to ensure that it is well maintained, has sound finances, and is always operating in the best interests of those we serve. 12. Work to learn and do my job effectively. 13. Declare conflicts of interest between my personal life and my position on the board and abstain from voting or influencing the vote when appropriate. 14. Commit to the executive (if any) and recognize that we have given the authority to hire, manage and supervise, evaluate and fire when necessary. As a board member, I will

NTA Board Passes NEW NTA Policy On Suspension, Expulsion or Other Action. NTA policy on suspension, expulsion or other action: Any individual (including Officers and Board Members), organization or company that is a member of the NTA may have any or all of its membership privileges suspended for a period of time, or may be expelled with the loss of all membership privileges or any other disciplinary action deemed warranted by a two-thirds (2/3) affirmative vote of the Board of Directors for the following reasons: 1. Any cause or conduct which is contrary to or in violation of the NTA Bylaws, Code of Ethics, Code of Conduct, Conflict of Interest Policy or Statement of Personal Commitment. 2. For having obtained membership in the NTA by a material false or misleading statement. 3. Without limitation, for any conduct disruptive of the orderly operation of the NTA in pursuit of its goals. 4. For willingly making false statements or misrepresentations about the NTA or any of its representatives. 5. For otherwise violating one’s obligation of loyalty to the NTA and its objectives. 6. Or for any other
good cause.
